Article 2 – Scope

These General Terms & Conditions apply to all offers, agreements and services provided by NovaCode Studio to professional clients (B2B).

Any deviation must be agreed in writing.
The client’s general terms are expressly excluded.

Article 3 – Services

NovaCode Studio provides, among others:

• Digital strategy & consulting
• Software and web development
• AI and data-driven solutions
• UX/UI and digital product design
• Technical support and maintenance

All services are best-effort obligations, unless explicitly agreed otherwise.

Article 4 – Offers and agreement

Offers are non-binding and valid for 30 days unless stated otherwise.
An agreement is concluded upon written acceptance or commencement of services.

Article 5 – Prices and payment

All prices are in euro and exclude VAT.

Invoices are payable within 14 days of invoice date.

Late payment automatically results in:

• interest of 1% per started month
• a fixed compensation of 10%, minimum €250

NovaCode Studio may suspend services in case of non-payment.

Article 6 – Performance and client cooperation

The client must provide all necessary information in a timely and correct manner.

NovaCode Studio is not liable for delays caused by the client.

Subcontracting is permitted.

Article 7 – Delivery terms

Delivery timelines are indicative and non-binding.
Delays do not entitle the client to compensation or termination.

Article 8 – Intellectual property

All intellectual property rights remain with NovaCode Studio unless agreed otherwise in writing.

The client receives a limited right of use for the agreed purpose only.

Article 9 – Confidentiality & privacy

Both parties shall treat confidential information as strictly confidential.

Personal data is processed in accordance with the Privacy Policy and GDPR.

Article 10 – Liability

NovaCode Studio is only liable in case of intent or gross negligence.

Liability is limited to the total contract value (excl. VAT).

Indirect or consequential damages are excluded.

Article 11 – Force majeure

NovaCode Studio is not liable for force majeure, including but not limited to system failures, network outages, strikes or governmental actions.

Article 12 – Termination

Either party may terminate the agreement in writing.

Immediate termination applies in case of:

• non-payment
• insolvency
• serious contractual breach

Article 13 – Governing law and jurisdiction

Belgian law applies.
Only the courts of West Flanders (Belgium) have jurisdiction.
